Company formation and registration – simple and without unnecessary formalities with the help of EFEKTA

Starting a business is an exciting step that involves a lot of formalities. Registering a company, choosing the right legal form, reporting to the authorities – these are just some of the processes that await every new entrepreneur. EFEKTA offers comprehensive legal consultancy on company formation and registration, helping you to overcome your difficulties and focus on business development.

Why can setting up a business be challenging?

  1. Choosing the right legal form
Choosing the legal form of a business is a decision that is of great importance for the continued operation of the company. Choosing a legal form of business has consequences, so it is a decision that will affect many aspects of the business. The appropriate legal form influences:
    • Liability of owners – some forms of business (e.g. sole proprietorship) involve full liability of the owner for the company’s liabilities, whereas in the case of companies (e.g. limited liability company) the liability is limited to the contributed capital.
    • Taxation rates – different forms of activity entail different taxation rules. The choice of form may affect VAT, CIT or PIT rates and the eligibility for tax credits, such as R&D relief or the IP Box.
    • Ability to attract investors – certain business forms (e.g. public limited companies or limited liability companies) are more attractive to investors, making it easier to raise external capital.
    • Formalities and operating costs – different forms of business require different registration formalities, reporting obligations and other administrative costs. A limited liability company, for example, involves complete accounting, which entails higher operating costs.
    • Flexibility in management and profit distribution – the choice of legal form also affects the management structure of the company and how profits are distributed. In the case of civil law partnerships and general partnerships, decisions are made jointly by the owners, and in limited liability and public limited companies by elected managers and management boards.
  2. Complexity of registration processes
Company registration involves a number of steps: choosing a name, filing with the Central Registration and Information on Business (CEIDG) or the National Court Register (KRS), obtaining the Tax Identification Number (NIP) and Business Registry Number (REGON), filing with the Social Insurance Institution (ZUS), VAT and other authorities. An error at any stage can delay the commencement of operations.
  3. Licences and permits
Depending on the industry, an entrepreneur may need special licences, permits or concessions, which can significantly lengthen the registration process.
  4. Tax issues
Not understanding the tax system can lead to problems with the tax authorities in the future. Choosing the right form of taxation (e.g. flat rate, general rules, flat tax) is key to optimising the company’s taxation.
  5. Hiring employees
If your company plans to hire employees, you need to prepare the appropriate documentation and report them to the Social Insurance Institution, which is another challenge.

FAQ – Frequently Asked Questions

What is the best way to start the company registration process?

The first and most important step is choosing the appropriate legal form and form of taxation. This decision will impact your financial liability, the amount of taxes paid, and the complexity of your accounting. The EFEKTA firm helps analyze your business model and select the optimal solution even before submitting any applications.

What is the difference between a Sole Proprietorship (JDG) and a Limited Liability Company (sp. z o.o.)?

The main difference is the scope of liability. In a sole proprietorship, you are liable for the company’s obligations with all your personal assets. In a limited liability company (LLC), your liability is generally limited to the contributed capital. However, a company requires maintaining full accounting records, whereas a sole proprietorship can usually use simplified accounting.

Which government offices do I need to visit to register a company?

Thanks to EFEKTA’s support, you do not need to visit offices in person. The registration of a sole proprietorship is done through an entry in the CEIDG register, and companies in the National Court Register (KRS). These systems are integrated, which allows for the automatic assignment of NIP (Tax ID) and REGON (Statistical ID) numbers. We also handle additional registrations with ZUS (Social Insurance Institution) and the Tax Office (VAT registration).

How to choose the most advantageous form of taxation?

The choice depends on projected revenues and costs. We offer advisory on choosing between a lump sum (ryczałt), general rules (tax scale), and a flat tax. We also help check if your business qualifies for reliefs such as “Small ZUS Plus” or “Start-up Relief”, which significantly lowers the costs of running a company in its initial phase.

Is VAT registration mandatory for every new company?

Not always. Many companies can benefit from a subjective VAT exemption (up to a limit of PLN 200,000 in annual revenue) or an objective exemption (based on the type of services provided). We analyze your industry and advise whether being an active VAT taxpayer will be profitable for you, or if it is better to remain exempt.

What formalities are involved in hiring the first employee?

Hiring an employee requires preparing an appropriate contract (employment contract, mandate contract, or specific task contract), issuing referrals for medical examinations, conducting OHS (BHP) training, and registering the person with ZUS within 7 days of starting work. EFEKTA takes over these responsibilities, preparing complete HR and payroll documentation.
